By exercising the Licensed Rights, you accept and agree to be bound by the terms and conditions of this Creative Commons Attribution-NonCommercial-NoDerivatives 4.0 International Public License (“Public License”). To the extent this Public License may be interpreted as a contract, you are granted the Licensed Rights in consideration of your acceptance of these terms and conditions, and the Licensor grants you such rights in consideration of benefits the Licensor receives from making the Licensed Material available under these terms and conditions.

### Section 1 – Definitions.

**a. Adapted Material** means material subject to Copyright and Similar Rights that is derived from or based upon the Licensed Material and in which the Licensed Material is translated, altered, arranged, transformed, or otherwise modified in a manner requiring permission under the Copyright and Similar Rights held by the Licensor. For purposes of this Public License, where the Licensed Material is a musical work, performance, or sound recording, Adapted Material is always produced where the Licensed Material is synched in timed relation with a moving image.

**b. Adapter’s License** means the license you apply to your Copyright and Similar Rights in your contributions to Adapted Material in accordance with the terms and conditions of this Public License.

**c. BY-NC-ND Compatible License** means a license that is listed at https://creativecommons.org/compatiblelicenses, and that the Licensor has confirmed is essentially the equivalent of this Public License.

**d. Copyright and Similar Rights means rights granted by law—including, but not limited to, patent rights, trademark rights, and moral rights—that protect Creator’s or Performer’s original works or performances as provided under copyright law, patent law, trademark law, trade secret law, or other similar laws or regulations, and that protect the sanctioning, attribution, and integrity of the Creator’s or Performer’s original works or performances. For purposes of this Public License, the rights specified in Section 2(b)(1)-(2) are not Copyright and Similar Rights.

**e. Effective Technological Measures means those measures that, in the absence of proper authority, may not be circumvented under laws fulfilling obligations under Article 11 of the WIPO Copyright Treaty adopted on December 20, 1996, and/or similar international agreements.

**f. Exceptions and Limitations means fair use, fair dealing, and/or any other exception or limitation to Copyright and Similar Rights that applies to your use of the Licensed Material.

**g. License Elements mean the license attributes listed in the name of a Creative Commons Public License. The License Elements of this Public License are Attribution, NonCommercial, and NoDerivatives.

**h. Licensed Material means the artistic or literary work, database, or other material to which the Licensor applied this Public License.

**i. Licensed Rights mean the rights granted to you subject to the terms and conditions of this Public License, which are limited to all Copyright and Similar Rights that apply to your use of the Licensed Material and that the Licensor has authority to license.

**j. Licensor means the individual(s) or entity(ies) that offer(s) the Licensed Material under the terms of this Public License.

**k. NonCommercial means not primarily intended for or directed towards commercial advantage or monetary compensation. For purposes of this Public License, the exchange of the Licensed Material for other material subject to Copyright and Similar Rights by digital file-sharing or similar means is NonCommercial provided there is no payment of monetary compensation in connection with the exchange.

**l. Share means to provide material to the public by any means or process that requires permission under the Licensed Rights, such as reproduction, public display, public performance, distribution, dissemination, communication, or importation, and to make material available to the public including in ways that members of the public may access the material from a place and at a time individually chosen by them.

**m. Sui Generis Database Rights means rights other than copyright resulting from Directive 96/9/EC of the European Parliament and of the Council 11 March 1996 on the legal protection of databases, as amended and/or succeeded, as well as other essentially equivalent rights throughout the world.

**n. You means the individual or entity exercising the Licensed Rights under this Public License. Your has a corresponding meaning.

### Section 2 – Scope.

**a. License grant.** 

Subject to the terms and conditions of this Public License, the Licensor hereby grants you a worldwide, royalty-free, non-sublicensable, non-exclusive, irrevocable license to exercise the Licensed Rights in the Licensed Material to:

1. **Reproduce and Share** the Licensed Material, in whole or in part, for NonCommercial purposes only; and 

2. **Produce and Reproduce, but not Share** Adapted Material for NonCommercial purposes only.

**b. Rights not granted.** 

I. The license granted in Section 2(a) above is expressly made subject to and limited by the following restrictions: 

1. You may not Share Adapted Material. 

2. You may not use the Licensed Material for commercial purposes. 

3. You may not apply Effective Technological Measures to the Licensed Material in a way that restricts exercise of the Licensed Rights by any recipient of the Licensed Material (e.g., you may not use DRM to restrict the ability of a recipient of the Licensed Material to exercise the Licensed Rights). 

II. For the avoidance of doubt, and except to the extent otherwise permitted by any applicable jurisdiction’s limitations on exclusive rights, the Licensor reserves all rights other than the rights expressly granted by this Public License. 

III. Except as otherwise agreed in writing by the Licensor or as may be otherwise permitted by applicable law, if you Share the Licensed Material (including in modified form), you must retain the following if it is supplied by the Licensor with the Licensed Material: 

1. Identification of the creator(s) of the Licensed Material and any others designated to receive attribution, in any reasonable manner requested by the Licensor (including by pseudonym if designated); 

2. A copyright notice; 

3. A notice that refers to this Public License (by name and <https://creativecommons.org/licenses/by-nc-nd/4.0/>), 

4. A notice that refers to the disclaimer of warranties; 

5. A URI or hyperlink to the Licensed Material to the extent reasonably practicable; and 

6. If the Licensed Material includes a digital image of a person, a credit or attribution that identifies the person in the image, in any reasonable manner requested by the Licensor. 

IV. In any case, you may accompany the Licensed Material with a summary of the attribution requirements, but you may not substitute the actual License, or any of its conditions or the lack thereof, for the License. 

V. You may use the Licensed Material in connection with advertisements or publicity if such use is a reasonable and good-faith (but not necessarily favorable) inclusion of the Licensed Material in the advertisement or publicity, and is reasonably limited in duration. For example, you may use the Licensed Material in televised or streaming reviews, or as part of a brand’s “best of” video compilation that includes that Licensed Material alongside other works.

**c. Term.** 

I. The term of this Public License is the same as the term of the Copyright and Similar Rights that Licensor has in the Licensed Material. 

II. However, if you fail to comply with this Public License, then your rights under this Public License terminate automatically.

**d. Media and formats; technical modifications allowed.** 

I. The Licensor authorizes you to exercise the Licensed Rights in all media and formats whether now known or later developed, and to make technical modifications necessary to do so. The Licensor waives and/or agrees not to assert any right or authority to forbid you from making technical modifications necessary to exercise the Licensed Rights, including technical modifications necessary to convert the Licensed Material to a different format or medium. 

II. The Licensor shall not be obligated to provide you with source code or other nor support for the Licensed Material.

**e. Downstream recipients.** 

I. Each recipient of the Licensed Material automatically receives an offer from the Licensor to exercise the Licensed Rights under the terms and conditions of this Public License. 

II. You may not offer or impose any additional or different terms or conditions on, or apply any Effective Technological Measures to, the Licensed Material that restrict the exercise of the Licensed Rights by any recipient of the Licensed Material. You may not sublicense the Licensed Material. 

III. Exception: Entities that have received the Licensed Material from you under this Public License will not have their licenses terminated as a result of any violation of this Public License by you if they remain in full compliance with their obligations under this Public License.

### Section 3 – License Conditions.

Your exercise of the Licensed Rights is expressly made subject to the following conditions.

**a. Attribution.** 

I. If you Share the Licensed Material (including in modified form), you must: 

1. Provide appropriate credit (but not in any way that suggests the Licensor endorses you or your use). The credit must include at minimum: 

• the name of the creator(s) (if supplied), 

• the title of the material (if supplied), 

• a URI or hyperlink to the material if supplied; and 

• the indication if changes were made (for Adapted Material). 

2. Provide a link or URI to this Public License: <https://creativecommons.org/licenses/by-nc-nd/4.0/>. 

3. Indicate if you modified the Licensed Material and give a brief description of the changes (e.g., “Remixed from [original title] by [creator name], CC BY-NC-ND 4.0”). 

You may satisfy the above by including a single acknowledgement such as “© [Year] [Creator]. This work is licensed under CC BY-NC-ND 4.0 (https://creativecommons.org/licenses/by-nc-nd/4.0/)” which can be placed in the credits section of your website or in the file metadata.

II. You must not imply that the Licensor endorses you or your use.

**b. No Additional Restrictions.** 

You may not apply legal terms or technological measures that legally restrict others from doing anything the License permits.

### Section 4 – Sui Generis Database Rights.

Where the Licensed Rights include Sui Generis Database Rights that apply to your use of the Licensed Material:

**a. For the avoidance of doubt, Section 2(a)(1) grants you the right to extract, reuse, reproduce, and Share all or a substantial portion of the contents of the database for NonCommercial purposes only;**

**b. If you include the contents of the Licensed Material in a database, then the Licensor permits you to use, reproduce, and Share all or a substantial portion of the contents of that database in any medium or format for NonCommercial purposes only; and**

**c. You must comply with the conditions in Section 3 (Attribution; No Additional Restrictions) if you Share all or a substantial portion of the contents of the database.**

### Section 5 – Disclaimer of Warranties and Limitation of Liability.

**a. No warranties are given.** 

The license offers the Licensed Material “as-is” and without warranties of any kind—either express or implied—to the maximum extent permitted by applicable law. The Licensor makes no warranties regarding the Licensed Material, and disclaims all implied warranties, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, and title.

**b. Limitations and exclusions on liability.** 

To the extent possible, under law, the Licensor shall not be liable to you or any other person for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages (including, without limitation, loss of profits, business interruption, loss of data, loss of goodwill, provision of substitute goods or services, or failure to meet any duty including of good faith or of reasonable care, or for any claim by any third party) arising from your use of the Licensed Material, even if the Licensor has been advised of or should have been aware of the possibility of such damages.

### Section 6 – Termination.

**a.** 

I. _Automatic Termination._ This Public License and rights granted hereunder will terminate automatically upon any breach by you of the terms of this Public License. Individuals or entities who have received Licensed Material from you under this Public License, however, will not have their licenses terminated provided such individuals remain in full compliance with those licenses.

**b.** 

I. _Non-termination._ The license granted here is perpetual (for the duration of the Copyright and Similar Rights licensed herein), and will not terminate for failure to give any required notices or attributions. However, any attempt to assert rights inconsistent with this Public License is void.

### Section 7 – Other Terms and Conditions.

**a.** 

The Licensor shall not be bound by any additional obligations that are triggered by any terms you seek to impose—whether legal terms in your license to the Adapted Material or contract or otherwise—unless those terms are in writing and acceptable to the Licensor.

**b.** 

If any provision of this Public License is invalid or unenforceable under applicable law, it will be deemed deleted to the extent necessary to make it valid and enforceable. Those remaining provisions of the Public License will remain in full force and effect.

**c.** ITERATION AND AMENDMENT 

I. Creative Commons may publish revised and/or new versions of the Public License from time to time. Such new versions will be given new version numbers.

**d.** APPLICATION OF THIS PUBLIC LICENSE 

Each time you Share the Licensed Material (including in modified form) under this Public License, the Licensor offers to let recipients of the Licensed Material exercise through the Licensor’s grant, subject to the terms and conditions of this Public License. You accept and agree to the terms and conditions of this Public License by exercising any of the Licensed Rights.

**e.** TERMINATION OF AGREEMENT 

If you breach this Public License, the rights granted by this Public License will terminate immediately (i.e., you lose the rights to use the Licensed Material). All other rights that you may have under applicable law (such as fair use, limitations, and exceptions to copyright) remain in force, provided you comply with those rights’ terms and do not contravene this Public License.

**f.** WAIVER 

Failure to exercise any right provided by this Public License or to insist upon strict performance of any term of this Public License will not be a waiver of such right or release you from compliance with such term. The Public License may only be modified in writing signed by both parties.

**g.** RIGHTS RESERVED 

Section 2(b)(1) and 2(b)(2) of this Public License describe rights that are beyond the scope of the license. Notwithstanding the above, nothing in this Public License constitutes or a waiver or the right to collect royalties in connection with specific uses permitted under statutory or compulsory licenses (e.g., use of music in broadcast).

**h.** TRANSLATIONS 

The Official Text of this Public License is in English. Any translation is offered for convenience only and the English text shall prevail in case of any conflict.
